	To be an authorized affiliate of YOUR SITE NAME, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the YOUR SITE NAME service as an affiliate. By signing up for the YOUR SITE NAME affiliate program, you indicate your acceptance of this agreement and its terms and conditions. Animal Friends Insurance Affiliate Programme Terms & Conditions 1. Definitions 1.1 “Animal Friends Insurance” means Animal Friends Insurance Services Limited, Co. No. 3630812, Registered Office Minton House, London Road, Amesbury, Wilts, S)4 7RT 1.2 “Affiliate” means any approved Affiliate on the Animal Friends Insurance Affiliate Programme 1.3 “Affiliate Payments” means such payments as are set from time to time by Animal Friends Insurance in the Account Manager section of the Affiliate Programme software to be paid to Affiliates for promotional activities. 1.4 “Affiliate Website” - Means the website edited run managed administered or displayed by the Affiliate 1.5 “Intellectual Property Rights” - Means patents, design rights, trade marks, trading business or domain names and e-mail addresses, copyrights (including any such rights in typographical arrangements of websites or software) whether registered or not and any application to register or rights to apply for registration of any of the foregoing, rights in inventions, know-how, trade secrets and other confidential information, rights in databases and all other intellectual property rights of a similar or corresponding character that subsist now or in the future in any part of the world 1.6 “Prohibited Site” - Means a website containing any information or materials which are in breach of any third party intellectual property rights or are or may be objectively considered to be defamatory, obscene, pornographic, offensive, threatening, blasphemous, promoting animal abuse or liable to incite racial hatred or which promote any illegal activity including but not limited to ware, cracking or hacking and/or such websites by Animal Friends Insurance. 2. Regulatory Compliance 2.1 The Financial Services Authority ("FSA") has regulated the sale of general insurance products since January 14th 2005. An Affiliate shall not be an Appointed Representative but shall be an Introducer. 2.2 The Affiliate undertakes not to endorse, offer advice or express any opinion in respect of any of the Animal Friends Insurance products nor to make any statement or representation that Direct Line endorses the Affiliate, its web site or any products or services of the Affiliate. Neither must the Affiliate, use any text, content, banners or promotional material other than that which has been approved by Animal Friends Insurance. Failure to comply with this constitutes a fundamental breach of the Animal Friends Insurance Affiliate Agreement and contravenes the Financial Services and Markets Act 2000 and the Rules made pursuant to this Act. Any affiliate breaching this condition will be removed from the campaign immediately and may risk not being paid for activity. 3. Graphics, Logos etc 3.1 Affiliates must not use any text, content, banners or promotional material other than that which has been approved by Animal Friends Insurance and that is made available via the Animal Friends Insurance Affiliate program page. Failure to comply with this constitutes a breach of the Animal Friends Insurance Affiliate Agreement. 3.2 Affiliates may produce their own text or other promotional material to advertise Animal Friends Insurance on their websites, but this must be approved by Animal Friends Insurance before being published on the affiliate site. All such material should be submitted to Animal Friends Insurance via the Affiliate program Account Manager. 4. Paid search policy 4.1 No bidding on Animal Friends Insurance brand keywords. Please ensure that you do not bid for the following types of keywords on search engines such as Google, Overture, Miva, BT Looksmart or other Paid for Listing providers. (i) brand only keywords such as “Animal Friends”; “Animal Friends Insurance”,“AFI” associated or otherwise with the words “your ethical choice; (ii) misspellings of brand only keywords such as “AF Insurance”; “Anmal Frnds” “Anmal Friends” “etc (iii) broad match terms that include the Animal Friends Insurance brand name or misspellings of the said name e.g “Animal Friends Pet Insurance” ; “Animal Friends Dog Insurance”; “Animal Friends Cat Insurance”; “Animal Friends Horse Insurance” or variations of the same. 5. Prohibited Sites 5.1 The Affiliate shall not at any time use a Prohibited Site for any purpose directly or indirectly connected with this Agreement. If an Affiliate is found doing so that Affiliate shall be removed from the programme with immediate effect and shall risk not receiving payment for any activity. 6. Affiliate Warranties 6.1 The Affiliate warrants that 6.1.1. it owns or has the right to use all intellectual property rights in and relating to the Affiliate Website; 6.1.2 the Affiliate Website complies with all applicable laws, government rules and regulations and industry codes including (without limitation) those relating to data protection, advertising and the Financial Services and Markets Act 2000 (including without limiting the general nature of the foregoing, obtaining Permission from the Financial Services Authority to carry on Insurance Intermediation Activities, where required). For the avoidance of doubt, it shall remain the responsibility of the Affiliate to ensure that it has such licences and meets such industry requirements as may be applicable to any Service which it takes; 6.1.3. the Affiliate Website does not and shall not display or contain any information or materials or hypertext links to information or materials which are in breach of the Intellectual Property Rights of Animal Friends Insurance; 6.1.4. the Affiliate Website does not and shall not display or contain any information or materials or hypertext links to information or materials which are or may be objectively considered to be defamatory, obscene, pornographic, offensive, threatening, may be considered to promote animal cruelty, blasphemous or liable to incite racial hatred or which promote any illegal activity including (but not limited to) cracking or hacking; 6.1.5 the Affiliate shall not generate transactions by means which in the opinion of Animal Friends Insurance are either fraudulent, unethical or that carry an unacceptable brand risk to the Animal Friends Insurance. No Affiliate payments will be payable where traffic has been generated by such means. 6.1.6 the copyright and all other proprietary rights in the Animal Friends Insurance web site will remain vested in Animal Friends Insurance. 6.1.7 its use of Animal Friends Insurance’s trademarks, trade names, logos, copyright and/or any other like intellectual property rights, and/or intellectual property rights of Animal Friends Insurance with respect to special links, links formats and technical specifications pursuant to the Affiliate’s participation in the Animal Friends Insurance Affiliate Program will not directly or indirectly create for it any right title or interest in such Animal Friends Insurance Intellectual Property and the Affiliate will not undertake any action that will interfere with or diminish Animal Friends Insurance’s right title and/or interest in or to the Animal Friends Insurance Intellectual Property. 6.1.8 that it will not copy, deface, distribute, amend or in any way alter any Animal Friends Insurance trademarks, trade names or logos 6.1.9 that it will not make any statement or representation whether on its web site or otherwise that it is connected or affiliated with Animal Friends Insurance or Animal Friends Insurance’s web site other than for the purpose of referring users to the Animal Friends Insurance web site as contemplated under the Animal Friends Insurance Affiliate Program. 7. Affiliate Payments 7.1 Payments to Affiliates shall be made at the rate and at the frequency set out by Animal Friends Insurance from time to time on the Affiliate Account 8. Aggregator Sites 8.1 Please do not advertise Animal Friends Insurance only on any aggregator sites or comparison sites, use your Affiliate site for such promotion. 9. Limitation of Liability 9.1 Animal Friends Insurance disclaims all liability in respect of the development, operation and maintenance of, and for all materials that appear on, the Affiliate’s web site and any improper, negligent or unauthorised use by the Affiliate of the Animal Friends Insurance Affiliate Program and any technical problems and/or loss of data caused by the Affiliate linking to the Animal Friends Insurance web site and the Affiliate undertakes to indemnify and hold Animal Friends Insurance harmless from all claims, damages and expenses (including, without limitation, legal fees) regarding the same. 9.2 Neither Animal Friends Insurance nor any of its affiliated companies will be liable for indirect, special or consequential damages (or any loss of revenue, profits or data) arising in connection with this Agreement. 10. Term and Termination 10.1. This Agreement shall come into force upon confirmation by the Affiliate of its acceptance of the terms of this Agreement and shall continue in effect until terminated by either party at any time on thirty days notice in writing. 10.2. Animal Friends Insurance shall be entitled to terminate this Agreement forthwith if: 10.2.1. the other party commits any repudiatory breach of any of the provisions of this Agreement; 10.2.2. the Affiliate breaches any of clauses 2.2, 5.1 or 6. 10.2.3. in the case of a breach capable of remedy, fails to remedy the same within 30 days after receipt of a written notice giving full particulars of the breach and requiring it to be remedied; 10.2.4. the Affiliate goes into bankruptcy, liquidation or makes a voluntary arrangement with his creditors or becomes subject to an administration order; 10.2.8. the Affiliate ceases, or threatens to cease, to carry on business 10.2.9. the number of Referrals produced or obtained through the Affiliate Website falls below a level which is acceptable in the reasonable opinion of Animal Friends Insurance. 10.3. Upon termination of this Agreement for any reason: 10.3.1. any licence or consent granted hereby for the use of the any Intellectual Property of Animal Friends Insurance shall be considered to be revoked forthwith; 10.3.2. the Affiliate shall immediately remove or co-operate with Animal Friends Insurance to allow it to remove from the Affiliate Website all relevant material issued by Animal Friends Insurance including but not limited to all copy, banners, logos or editorial. 10.3.3. the Affiliate shall not be entitled to receive Commission on any Referrals made after the date of termination of this Agreement. 10.4 Clauses 9 and 10.3 shall survive the termination of this Agreement. 11. General 11.1. This Agreement is personal to the Affiliate and the Affiliate may not without the written consent of Animal Friends Insurance, assign, transfer sub-contract or otherwise dispose of any of its rights or obligations under it 11.2. The Contracts (Rights of Third Parties) Act 1999 shall not apply to this Agreement and no person other than the parties to this Agreement shall have any rights under it, nor shall it be enforceable under that Act by any person other than the parties to it. 11.3. All notices to be served by either party on the other shall be delivered: 11.3.1. by e-mail to the e-mail address of the Affiliate as provided by it to Animal Friends Insurance through the Affiliate Account, 11.3.2. by recorded delivery to the other’s address as set out in this Agreement and/or in the Affiliate Account 11.4. This Agreement contains the entire agreement between the parties with respect to the subject matter, supersedes all previous agreements and understandings between the parties. and may not be modified otherwise than in writing. 11.5. Nothing in the Animal Friends Insurance Affiliate Program will create any partnership, joint venture, franchise or employment relationship between Animal Friends Insurance and the Affiliate. The Affiliate will have no authority to make or accept any offers or representations, guarantees or warranties on Animal Friends Insurance’s behalf, including with respect to Animal Friends Insurance’s products or services. 11.6. If any provision of this Agreement is held by any court or other competent authority to be void or unenforceable in whole or in part, this Agreement shall continue to be valid as to the other provisions thereof and the remainder of the affected provision. 11.7. This Agreement shall be governed by and construed in all respects in accordance with the laws of England and any dispute shall be subject to the exclusive jurisdiction of the English courts.
